Terms of Service

These Terms of Service (the "Terms") govern your use of the Manufacto mobile app and the website at manufacto.co (together, the "Platform"). By creating an account or using the Platform you accept these Terms, for yourself and for the business you represent. If you do not accept them, do not use the Platform.

01Who We Are

The Platform is operated by Yousef Wally, an individual based in Giza, Arab Republic of Egypt, trading as Manufacto ("Manufacto", "we", "us"). You can reach us at support@manufacto.co or at the other details in the Contact section below.

02What Manufacto Is

Manufacto is an online platform that connects brands, meaning businesses that want products made, with factories that make them. The Platform lets users:

  • Find factories and view their profiles.
  • Post production requests and receive quotes.
  • Send and receive offers and messages.
  • Record accepted orders and follow them through production, from sampling to delivery.

Manufacto is a technology platform. We are not a party to any deal made on it. We do not manufacture, buy, sell, ship, inspect or insure any product, and we do not receive or hold any payment for an order. Every order is a contract directly between the brand and the factory.

03Who May Use Manufacto

The Platform is for business use only. To use it you must:

  • Be of legal age to enter into binding contracts in your country, and in any case at least 16 years old.
  • Be authorised to act for the business named on your account.
  • Not have had an account removed by us, unless we have agreed in writing that you may return.
  • Not be subject to sanctions that would make it unlawful for us to provide the Platform to you.

04Your Account

  • Give accurate, complete and current information, and keep it up to date.
  • Confirm your email address when we ask you to. Some features stay unavailable until you do.
  • Keep your password secret and do not share your account.
  • Tell us straight away at the address below if you think someone else has used your account.

You are responsible for everything done through your account. To protect accounts, we may temporarily lock sign-in after repeated wrong passwords and require strong passwords.

05Factory Verification

A factory must complete its profile and pass our review before it receives requests from brands. During review we may ask for more information or documents, and we may decline an application.

Verification means only that the information a factory gave us passed our review at the time. It is not a guarantee of the factory's quality, capacity, certifications, legal compliance or performance, and it is not an endorsement. Brands should carry out their own checks before placing an order.

Factories must keep their profile accurate. The contact phone number a factory gives us is used by Manufacto to contact the factory and is not shown to brands.

06Requests, Quotes, Offers and Orders

  • When a brand posts a request, we send it to verified factories that match its category, or to the factories the brand chooses. We decide how many factories receive an automatically matched request.
  • Quotes and offers are priced in the currency of the country where the factory is registered. Manufacto does not convert currencies.
  • When a brand accepts a quote or an offer in the app, an order record is created between that brand and that factory. The price, quantity, lead time and currency shown when it was accepted are recorded on the order.
  • The brand and the factory are responsible for agreeing every other term of their deal, such as payment schedule, deposits, packaging, shipping terms, inspection, returns and liability, and should record those terms in writing.
  • Production updates are posted by the factory and are the factory's own statements.
  • We may limit how often requests, messages and other actions can be made, to keep the Platform working and to prevent abuse.

Manufacto does not guarantee that a factory will respond or quote, that a brand will accept a quote, or that any order will be completed.

07Payments Between Brands and Factories

Brands pay factories directly, outside the Platform, on the terms they agree. Manufacto does not receive, hold, transfer or guarantee these payments and is not responsible for them. Manufacto does not offer escrow.

Each user is responsible for its own taxes, customs duties, import and export rules, and any licences its products need.

Be careful with any request to pay into a bank account other than the one you agreed, especially if it arrives by message. Confirm it with the other party through a channel you already trust.

08Fees

Manufacto is free for brands. Brands pay Manufacto no fees of any kind, including on orders. Creating a factory profile and receiving requests are also free.

Only factories pay fees. Manufacto charges a factory a platform fee on each order it completes through the Platform. An order is completed when it is marked delivered in the Platform. The fee rate, what it is calculated on, and how it is invoiced are set out in the fee schedule shown in the app or agreed with the factory in writing. No fee is owed on an order placed before a fee schedule applied to that factory.

  • Fees are exclusive of value added tax and other taxes, which are added where the law requires.
  • Invoices are payable within 30 days of their date.
  • We may suspend an account whose fees are overdue.
  • We will give at least 30 days' notice before introducing a fee or increasing one.

For 12 months after a factory is first introduced to a brand through the Platform, the factory must not move an order with that brand that started on the Platform elsewhere, or ask the brand to, in order to avoid the fee. This obligation applies to factories only; brands are not bound by it.

09Messages and Files

Messages, offers and files you send through the Platform are delivered to the other party and stored so that both of you can refer back to them. Manufacto may review conversations, including their messages, offers and files, for quality assurance, to keep the Platform safe and working well, to investigate reports, fraud or breaches of these Terms, and when the law requires it. Reviews are carried out only by authorised Manufacto staff, and every time a staff member opens a conversation, it is logged.

Communicate professionally. Do not send passwords, full bank card numbers or other information you would not want stored.

Brands and factories can report or block each other from the chat. We review every report, and we may remove content and block or delete the account that sent it.

10Your Content and Designs

You keep ownership of everything you upload, including logos, photos, design references, tech packs and messages ("Your Content").

You give Manufacto a non-exclusive, worldwide, royalty-free licence to host, store, copy, resize, display and transmit Your Content, only as needed to operate and improve the Platform. This licence includes showing your profile and requests to the users who are allowed to see them. It ends when Your Content is deleted, except for copies the other party to an order or conversation keeps under these Terms and copies we must keep by law.

You confirm that you have the rights needed to upload Your Content and that it does not infringe anyone else's rights.

A brand's designs, tech packs and design references are shared only with the factories that receive its request. A factory that receives them must keep them confidential and use them only to quote for, and produce, that brand's order.

11Acceptable Use

You must not:

  • Use the Platform for anything illegal, including counterfeit goods, goods that infringe intellectual property, or goods whose manufacture or trade is prohibited.
  • Give false information about yourself, your business, your products, your certifications or your capacity.
  • Impersonate another person or business, or create accounts to get around a suspension or a limit.
  • Send spam, or contact users for purposes unrelated to the Platform.
  • Copy, scrape or collect data about other users.
  • Upload malware, or try to break, overload, probe or get around the Platform's security or limits.
  • Copy, modify or reverse engineer the app, except where the law allows it.
  • Harass, threaten or deceive other users.
  • Send or upload content that is abusive, hateful, sexually explicit or otherwise objectionable. We do not tolerate it.

12Reviews and Ratings

Reviews must be honest and based on a real order. We may remove a review that breaks these Terms or the law. Ratings reflect other users' opinions, not Manufacto's.

13Suspension and Removal

We may block or delete an account, with or without notice, if we reasonably believe it breaks these Terms or the law, puts other users at risk, or exposes Manufacto to legal risk. A blocked account cannot sign in or use the Platform.

Deleting an account is permanent. When an account is deleted, the personal profile, files and contact details are removed. Orders and conversations stay visible to the other party, because they form part of that party's business records, with the deleted account's name replaced by "Deleted brand" or "Deleted factory".

You may stop using the Platform at any time. You can delete your account yourself in the app: open Profile, then Delete account. If you have an order in progress, your account is deleted once that order is delivered or cancelled, so the other party is not left with an unfinished order; until then you can keep using the account to finish it. You can also ask us to delete your account by emailing us from the address on the account.

14Intellectual Property

The Platform, including its software, design, text and the Manufacto name and logo, belongs to Manufacto or its licensors. These Terms give you a limited, personal, non-transferable right to use the Platform for your business while your account is active. They give you no other rights.

15Third-Party Services

The Platform relies on services run by others, including Apple and Google for sign-in, app distribution and notifications. Your use of those services is also governed by their own terms.

16Disclaimers

The Platform is provided "as is" and "as available". To the extent the law allows, Manufacto gives no warranty that the Platform will be uninterrupted or error free. Manufacto gives no warranty about any user, product, quote, order or result. We do not check every piece of information users provide, and we are not responsible for what users say or do.

17Limitation of Liability

To the extent the law allows:

  • Manufacto is not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill or data.
  • Manufacto is not liable for anything arising from a deal, payment, dispute, product, delivery or communication between users, including fraud by another user.
  • Manufacto's total liability to you for all claims connected with the Platform is limited to the greater of the fees you paid Manufacto in the 12 months before the claim arose and EGP 5,000.

Nothing in these Terms limits liability for fraud or gross negligence, or any other liability that the law does not allow to be limited.

18Indemnity

You will compensate Manufacto for any claim, loss or expense, including reasonable legal fees, arising from your products, your orders, Your Content, or your breach of these Terms or the law.

19Disputes Between Users

Disputes about an order are between the brand and the factory. We may try to help, but we are not obliged to. When a dispute is reported, we may share relevant information with the other party or with the authorities, as described in our Privacy Policy.

20Changes

We may change the Platform at any time. We may also update these Terms. If a change is material, we will tell you in the app or by email at least 14 days before it takes effect, unless it is required sooner by law or to address a security risk. If you keep using the Platform after a change takes effect, you accept it. If you do not accept it, stop using the Platform and delete your account in the app, or ask us to delete it.

21Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt. Before starting any legal claim against Manufacto, please contact us and give us 30 days to resolve it. The competent courts of Cairo, Egypt have exclusive jurisdiction over any dispute arising from these Terms or the Platform, unless mandatory law gives you the right to bring a claim elsewhere.

22General

  • These Terms, our Privacy Policy and any fee schedule that applies to you are the entire agreement between you and Manufacto about the Platform.
  • If a court finds part of these Terms unenforceable, the rest stays in force.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your rights under these Terms. We may transfer ours as part of a reorganisation, merger or sale of our business, including to a company set up to operate the Platform.
  • If these Terms are translated, the English version prevails, unless the law requires otherwise.
